Contractual support The standard LOGITAS Escrow Agreement includes some definitions and procedures such as: a Maintenance, permanent or temporary default, a Content of a deposit, a Validation procedures, a Release procedure, a Etc. These clauses may be used as the "Default provisions" to be included in the licence or maintenance agreement to be signed by both Licensor and Licensee. The standard agreement also accords priority to any specific release procedure agreed between Licensor and Licensee. At times the nature of the software and stakes involved may require unusual trigger events and release procedures. LOGITAS agree in advance to execute said specific procedures. The LOGITAS support mainly involves the offering of escrow agreements or specific provisions regarding release procedures. It also may involve specific acceptance procedures when the source code is transferred; when Depositor liability is potentially significant, when OEM or subcontractor is part of a deal, etc. Assistance can also include review of conditions proposed by one party and the proposal of technically sound and easily implemented alternatives. LOGITAS may also act as a trouble shooter to clarify issues and offer technical or contractual solutions. The parties involved often use different vocabularies. For example, we can find a list of modules in the licence agreement which can be totally different from the naming conventions used in the source code. A DLL may be labelled differently than the corresponding Visual Studio project. An End User may request the source code and transfer of ownership to handle concerns about the provider's durability, knowledge transfer to competitors, Provider takeover by a competitor, etc. when a few specific provisions could solve these problems in a different and fairer manner. LOGITAS may help define trigger events tied to specific release procedures, e.g. when the IT property is essential for one or all parties, or when an integrator may be required to perform maintenance on software they do not own but for which they are exposed to penalty clauses for late maintenance response, etc. In terms of acceptance procedures, LOGITAS can develop contract terms and manage a specific process enabling the End User or an Authorized Third Party to ensure the deliverable version he is going to install for temporary or definitive acceptance is built entirely from the components and procedures deposited with LOGITAS. This End User may attend the Build process and there be delivered the deliverable version or LOGITAS may send it to him upon formal Depositor request guaranteeing the End User the symmetry between the deposited material and the thus sent deliverable version.
